General Terms and Conditions of SWISSBEN INC.

1     SCOPE OF GTC’s

Basis for the acquisition of participations of Swissben Inc., hereinafter called Swissben, are the following general terms and conditions ("GTC"). With the acquisition of participations, the GTC's are automatically accepted.

2     SERVICE DESCRIPTION

SWISSBEN is a company that aims to allow investors to participate in innovative companies with high growth potential. In particular, retail investors often have no access to such facilities. By using a low volume of investment for a single participation, Swissben is an ideal partner for anyone.

3     REGISTRATION

To manage investments in a meaningful way, of course, registration is required. The user agrees to provide truthful, accurate, and current and complete information as prompted by the registration form, and promptly update the data saved at Swissben to keep them true, accurate, current and complete. If information should be untrue, inaccurate, outdated or incomplete, SWISSBEN can not be held liable for services not rendered like not paid out fees, or if there should be reason for SWISSBEN to believe that such information is untrue, inaccurate, outdated or incomplete, SWISSBEN is entitled to delete the user account temporarily or permanently, and to exclude any use of any or all services at present and in the future without any obligation to make restitution.

4     TRANSFER OF THE USE TO THIRD PARTIES

The user expressly acknowledges that as holder of an account he is in full responsible for all activities that are carried out on his account and he acknowledges that he himself is or can be made liable for these activities.

5     RESPONSIBILITIES AND DUTIES OF USERS

Each user is required to keep his data of access safe and shall not make it available to third. He also guarantees with the purchase of investments that the invested capital was taxed correctly. For larger sums Swissben may request a tax certificate.

From an investment of $ 10,000, 00 (ten thousand USD) and upwards, the user is obliged to submit a current copy of his passport so that the ownership can be clearly documented by Swissben. Otherwise, the bank receipt serves as proof of ownership.

6     NOTIFICATIONS

Notifications are either made known by e-mail or by notices or links to the relevant services which are published online.

7     PRICES AND TERMS OF PAYMENT

The current prices and payment conditions for participations are published by SWISSBEN on the relevant platform. With the acquisition which is already at stage of registration the payment becomes automatically due.

8     DURATION AND TYPE OF A PARTICIPATION

The duration of a participation is with no end date. In its present form a participation is to be classified as an investment. Once the legal form may offer different types of shares, all participations will be converted into shares. The exact type of share will be announced when becoming relevant.

9     TERMINATION

Participations are not callable. However they can be sold or to be transferred to someone else. A possible sale or transfer is matter of the user.

10    CHANGES TO THESE TERMS AND CONDITIONS

SWISSBEN reserves the right to change or to enhance these GTC’s for the future. Any amendments or supplements to these GTC’s will always be especially announced. The amended or supplemented GTC’s will take effect immediately.

11    APPLICABLE LAW AND JURISDICTION

These GTC’s and the use of the services shall be governed by Swiss law. For disputes arising under or in connection with the use of the Services and / or these GTC’s, the courts of Zurich / Switzerland shall have exclusive jurisdiction. In case of contraventions SWISSBEN reserves the right to sue a member also at a court where the member is resident

In case of questions of interpretation of these GTC’s the German version is always in lead.

12    DATA PROTECTION

SWISSBEN is aware that users expect a particularly sensitive handling of all personal information they provided to SWISSBEN. This is extremely important. SWISSBEN comply with all applicable legal provisions regarding data protection (Swiss data protection laws, European Data Protection Directives and any other applicable data protection legislation). In particular SWISSBEN will not pass personal data without authorization to third parties or otherwise bring to attention.
